Pharma Works LLC dba CanniLabs
Effective Date: October 15, 2026

These terms apply to all wholesale, custom manufacturing, and white-label orders purchased from CanniLabs unless otherwise agreed upon in a separate written agreement signed by an authorized representative of CanniLabs.

1. All Sales Final

All custom, wholesale, and white-label orders are final sale and cannot be returned or refunded except in cases of confirmed product defects or nonconformity, as described below.

Customers are responsible for reviewing and approving all order details, product specifications, formulations, labels, and packaging designs before production.

2. Defective or Nonconforming Products

Customers must notify CanniLabs in writing of any product defects or order discrepancies within 14 calendar days of receiving the order.

Please include your order number, a description of the issue, and supporting photographs or documentation when applicable.

After reviewing the claim, CanniLabs will determine, at its discretion, whether the appropriate resolution is to:

  • Replace the affected product.
  • Repair or correct the affected product, where feasible.
  • Issue a full or partial refund for the affected product.

Claims must be submitted within the 14-day notification period. Products will otherwise be considered accepted, subject to applicable law and any separate written agreement.

Products that meet the agreed-upon order specifications are not eligible for return simply because a customer changes their mind or no longer needs the product.

3. Product Testing and Potency Standards

CanniLabs uses third-party potency testing to evaluate finished products.

Unless otherwise agreed upon in writing, our standard potency acceptance range is ±15% of the agreed-upon target potency based on third-party testing of finished products.

For example, if the agreed-upon target potency is 100 mg, a result between 85 mg and 115 mg falls within this standard.

Any alternative testing tolerances, specifications, or acceptance criteria must be agreed upon in writing before the order is finalized.

If third-party testing indicates that a finished product falls outside the applicable agreed-upon potency tolerance, customers must notify CanniLabs within the 14-day period described in Section 2. CanniLabs will review the results and determine an appropriate resolution under these terms.

4. Payment Terms

CanniLabs accepts the following payment methods for orders:

  • ACH bank transfer
  • Credit card
  • Wire transfer

Unless otherwise agreed upon in writing, payment in full is required before products are released for delivery or shipment.

Prices, shipping costs, taxes, and any additional fees will be outlined in the applicable quote or invoice. Unless otherwise agreed upon in writing, shipping costs, insurance, taxes, duties, and other applicable charges are the customer’s responsibility.

5. Shipping and Delivery

Products are shipped from CanniLabs’ place of business or delivered directly to the customer, as applicable.

Unless otherwise required by law or agreed upon in writing, title and risk of loss transfer to the customer when products are delivered to the shipping carrier or, for direct deliveries, when delivered to the customer.

Customers are responsible for inspecting orders promptly upon receipt and reporting any defects, damage, or discrepancies within the 14-day notification period.

6. Custom Labels, Packaging, and Artwork

Customers are responsible for the accuracy and legality of all customer-provided labels, artwork, product claims, trademarks, and packaging content, including compliance with applicable labeling and marketing requirements.

Customers grant CanniLabs permission to use their supplied artwork, trademarks, and label materials solely as needed to produce and fulfill their orders.

CanniLabs reserves the right to review and approve final packaging and label designs before production. Additional fees may apply for label printing, design, or other customization services.

7. Customer Responsibilities and Compliance

Customers are responsible for ensuring that their purchase, possession, storage, labeling, marketing, distribution, and resale of products comply with applicable laws and regulations.

Customers are also responsible for maintaining any licenses, registrations, or permits required for their business activities and for ensuring that their product claims and marketing materials are lawful.

Unless expressly agreed upon in writing, CanniLabs does not assume responsibility for a customer’s downstream labeling, marketing, distribution, or resale activities.

8. Product Warranties

Except as expressly stated in a separate written agreement or required by applicable law, products are supplied without additional express or implied warranties, including implied warranties of merchantability or fitness for a particular purpose, to the extent permitted by law.

Customers are responsible for determining whether products are appropriate for their intended use and for complying with applicable requirements.

9. Limitation of Liability

To the extent permitted by applicable law, CanniLabs’ liability for a confirmed defective or nonconforming product will be limited to the applicable remedy described in Section 2.

To the extent permitted by law, CanniLabs will not be liable for indirect, incidental, special, punitive, or consequential damages, including lost profits, lost sales, business interruption, or loss of business opportunities.

Nothing in these terms excludes or limits liability that cannot legally be excluded or limited.

10. Force Majeure

CanniLabs will not be responsible for delays or failures to perform caused by circumstances beyond its reasonable control, including natural disasters, fires, labor disputes, material shortages, transportation delays, government actions, utility failures, public health emergencies, or other comparable events.

11. Governing Law

These terms are governed by the laws of the State of Wisconsin, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any dispute concerning these terms will be handled in a court of competent jurisdiction as permitted by applicable law.

12. Agreement to Terms

By requesting a quote, submitting an order, or purchasing products from CanniLabs, the customer acknowledges and agrees to these terms, unless a separate written agreement signed by an authorized CanniLabs representative provides otherwise.

Any changes or exceptions must be agreed upon in writing by an authorized representative of CanniLabs.
